These Terms of Service ("Terms") govern your access to and use of askasgard.ai ("the Platform"), operated by Asgard.World Ltd, a company registered in England and Wales (company number 13876919, registered office: 8 Greenlink Walk, Richmond, TW9 4AF, United Kingdom, VAT number: 431043937).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to all provisions, you must not use the Platform.

askasgard.ai is an AI-powered tool suite comprising 16 interconnected specialist tools (collectively "the Tools") powered by large language models. The Tools provide capabilities including but not limited to market research, consumer insights, strategic planning, content generation, financial modelling, brand development, pricing strategy, and data analysis.

8.1 Platform Ownership

All code, designs, system prompts, tool configurations, branding, and intellectual property related to the Platform are owned by Asgard.World Ltd or its licensors. You may not copy, modify, reverse-engineer, or create derivative works based on the Platform without written permission.

8.2 Your Content

You retain ownership of original content you create using the Platform ("User Content"). By using the Platform, you grant Asgard.World Ltd a non-exclusive, worldwide, royalty-free licence to use User Content for the purposes of providing, improving, and maintaining the Platform, including analytics and service improvement.

8.3 Uploaded Content

You represent and warrant that you have all necessary rights to upload any content to the Platform. Asgard.World Ltd is not responsible for content you upload that infringes third-party rights.

9. Data and Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. In the event of conflict between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy controls.

10. Usage Limits and Fair Use

The Platform may impose usage limits based on your access tier. Excessive usage that impacts service quality for other users may result in rate limiting or access restrictions. Asgard.World Ltd reserves the right to modify usage limits at any time with reasonable notice.

11. Session Management

For security purposes, sessions expire after a period of inactivity. You may be required to re-enter your access code to continue using the Platform. Asgard.World Ltd is not liable for any loss of unsaved work due to session expiry.

12. Availability and Service Levels

The Platform is provided on an "as-is" basis. Asgard.World Ltd does not warrant that the Platform will be uninterrupted, error-free, or secure. We may perform maintenance, updates, or modifications that temporarily affect availability. We will endeavour to provide reasonable notice of planned downtime where practicable.

13. Third-Party Services

The Platform may integrate with or rely on third-party services, including AI model providers, cloud infrastructure, and payment processors. Asgard.World Ltd is not responsible for third-party service failures, outages, or policy changes. Your use of third-party services is subject to their respective terms.

14. Subscription and Billing

Where applicable, subscription fees are billed in accordance with your chosen plan. You are responsible for maintaining valid payment information. All fees are exclusive of applicable taxes, which you are responsible for paying. Refunds are not provided for partial periods or unused services unless required by law.

You agree to indemnify, defend, and hold harmless Asgard.World Ltd, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

16.1 Liability Cap

ASGARD.WORLD LTD'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) £500, OR (B) THE TOTAL AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. THIS CAP DOES NOT APPLY TO LIABILITY ARISING FROM ASGARD.WORLD LTD'S GROSS NEGLIGENCE, WILFUL MISCONDUCT, OR BREACH OF DATA PROTECTION OBLIGATIONS.

16.2 Exclusion of Consequential Damages

ASGARD.WORLD LTD IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You may stop using the Platform at any time. To request account deletion, contact us at legal@asgard.world.

Asgard.World Ltd may suspend or terminate your access if:

Upon termination, your access to the Platform is immediately revoked. Outstanding invoices remain payable. Any data associated with your account may be deleted after a reasonable retention period.

18. Force Majeure

Neither party is liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, pandemics, war, government action, or major infrastructure failure. This clause does not excuse payment obligations.

19. Dispute Resolution

19.1 Informal Resolution

Before pursuing legal action, the parties agree to attempt informal resolution by exchanging detailed written notices and engaging in good-faith negotiation for 30 days. If the dispute remains unresolved, either party may refer the matter to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London.

19.2 Jurisdiction and Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of London, England. Both parties consent to the jurisdiction and venue of these courts.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision is severed, and the remaining provisions remain in full force and effect.

21. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

22. Modern Slavery and Human Trafficking

Asgard.World Ltd is committed to preventing modern slavery and human trafficking in its operations and supply chains, in accordance with the Modern Slavery Act 2015.

23. Anti-Bribery and Anti-Corruption

Both parties agree to comply with the Bribery Act 2010 and all applicable anti-bribery and anti-corruption laws.

25. Beta Features

Features labelled "beta", "experimental", or "preview" are provided as-is and may contain bugs, incomplete functionality, or be discontinued without notice. Use of beta features is at your sole risk.

26. Changes to These Terms

Asgard.World Ltd may update these Terms from time to time. We will notify you of material changes by posting a notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
